Terms of Service

1. Acceptance of Terms

By accessing or using Credwik's website at credwik.com or our mobile applications (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you (the "User") and ADF DesignTech Private Limited (CIN: U62011HR2026PTC146319), operating under the brand name "Credwik" ("we", "us", or "our"). Acceptance is valid under the IT Act 2000 and Indian Contract Act 1872.

2. Description of Service

Credwik provides a cloud-based invoicing, accounting, and compliance platform designed for small and medium businesses. Features include but are not limited to: professional invoice generation, customer and supplier ledger management, inventory tracking, GST filing for India (GSTR-1 & GSTR-3B), payroll management, and financial reporting.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable prior notice where practicable.

3. Eligibility and Account Registration

  • You must be at least 18 years old to use Credwik.
  • You must provide accurate, complete, and current information during registration and keep it updated.
  • You are responsible for maintaining the confidentiality of your login credentials. Notify us immediately at support@credwik.com of any unauthorised access.
  • One person or legal entity may not maintain more than one free account.

4. Subscription Plans and Billing

4.1 Free Plan

The Free Plan is available at no cost and includes the features described on our Pricing page. We reserve the right to modify free plan limits with 30 days' notice.

4.2 Paid Plans

The Pro Plan (₹499/month), Business Plan (₹999/month), and Enterprise Plan (₹1,999/month) are billed monthly or annually as selected at purchase. All fees are in INR (Indian Rupees) inclusive of applicable GST. Subscriptions auto-renew unless cancelled before the renewal date.

4.3 Refunds

Monthly plans: no refunds for partial months. Annual plans: full refund available within 7 days of initial purchase or annual renewal. After 7 days, no refund is available for the unused portion. Certain circumstances (duplicate charge, technical failure of 72+ hours, unauthorised charge) qualify for refunds at any time. See our Refund & Cancellation Policy for full details.

4.4 Taxes

GST at 18% is applied to all paid plans for Indian customers as required by the CGST Act 2017. A valid GST invoice will be issued for all charges. Credwik will issue a GST credit note for any approved refund.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Upload false, misleading, or fraudulent business data
  • Attempt to gain unauthorised access to any part of the Service or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated scripts, bots, or scrapers to access the Service without prior written consent
  • Resell or sublicense access to the Service without our written consent
  • Interfere with the security, integrity, or availability of the Service

6. Your Data and Content

You retain ownership of all business data and content you upload to Credwik ("User Content"). By using the Service, you grant us a limited, non-exclusive licence to store, process, and display your User Content solely as necessary to provide the Service.

You are solely responsible for the accuracy and legality of your User Content, including the correctness of GST rates, GSTIN numbers, and transaction records.

7. Data Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. We comply with the Digital Personal Data Protection Act 2023 (DPDP Act), IT Act 2000, and GDPR for EU/EEA users.

8. Intellectual Property

The Service, including its design, code, trademarks, logos, and content created by Credwik, is owned by ADF DesignTech Private Limited and protected by the Copyright Act 1957, Trade Marks Act 1999, and other applicable intellectual property laws. You may not use our trademarks or branding without prior written consent.

9. Third-Party Integrations

The Service integrates with third-party platforms including the GSTN portal, payment gateways, and cloud services. Your use of such integrations is also subject to those third parties' terms of service. We are not responsible for third-party platforms' availability, accuracy, or conduct.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that any defects will be corrected.

Credwik is a software tool, not a licensed tax advisor or CA firm. Information generated by Credwik (reports, GSTR summaries, etc.) is for informational purposes only. You remain solely responsible for your tax compliance. We recommend consulting a qualified CA for complex tax matters.

11. Limitation of Liability

To the maximum extent permitted by applicable law, ADF DesignTech Private Limited and its directors, employees, and agents shall not be liable for:

  • Any indirect, incidental, special, or consequential damages
  • Loss of data, revenue, profits, or business opportunity
  • Errors or inaccuracies in GST calculations or filings resulting from incorrect data you have entered
  • Any penalties, interest, or notices from tax authorities

Our aggregate liability to you for any claim arising out of these Terms shall not exceed the amounts paid by you to Credwik in the 3 months immediately preceding the claim. Nothing in this section excludes liability for fraud, or liability that cannot be excluded under the Consumer Protection Act 2019 or DPDP Act 2023.

12. Indemnification

You agree to indemnify and hold harmless ADF DesignTech Private Limited and its affiliates, officers, employees, and agents from any claim, demand, loss, or damages (including reasonable legal fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

You may terminate your account at any time through account settings or by emailing support@credwik.com. We may suspend or terminate your access if you violate these Terms, without liability to you.

Upon termination, your right to use the Service ceases immediately. You have a 30-day window to export your data before deletion. We will retain your data as required by law (see Privacy Policy and our Refund & Cancellation Policy).

14. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 14 days before they take effect. Your continued use after the effective date constitutes acceptance of the revised Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of India, including the IT Act 2000, DPDP Act 2023, and Consumer Protection Act 2019. Any disputes shall first be attempted to be resolved through good-faith negotiation for 30 days. If unresolved, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act 1996, with the seat in New Delhi, conducted in English.

EU/EEA users may also bring disputes before a court in their country of residence under applicable EU consumer protection laws.
